General terms and conditions and privacy policy

 

Deltareference bvba, of Puinstraat 26, 9000 Gent, Belgium (hereinafter ‘Delta’), is the

provider of a Web site and online shop (hereinafter together ‘the Service’) at the www.flipcrown.com Web address. These Web site terms of use (hereinafter ‘Terms’) shall be applied to the use of the system and any orders made via the Service. Using the Service is not allowed if you do not approve of the Terms.

 

1. The Service and how to use it

 

Use of information contained in the Service for private, non-commercial purposes is permitted. Using press releases and other documents that are intended to be public for public communication is permitted, provided that the source of the information is mentioned during use.

 

The Service contains material that is protected by copyright. All rights not specifically granted in these terms are reserved. Copying, transmitting, distributing, or saving the content of the Service or a part thereof, in any form, is prohibited without prior written consent granted by Delta. The Service may be browsed and reviewed on a computer (or with a similar device), and parts thereof may be printed for the user’s own, personal use.

 

FlipCrown is a trademark or registered trademark of Delta. Other names or symbols appearing in the Service may be protected symbols of their respective owners. Without the prior written consent of Delta or the relevant third party, access to the Service is not to be interpreted, indirectly or in any other way, as the granting of a licence or any other access right to a symbol appearing on the Web site.

 

2. Links

 

The Service may contain links to sites owned or maintained by third parties. When you access such sites, you must read and accept any terms of use before starting to use the site. When you access a linked site, you also accept that the site is not managed by Delta and that Delta does not have any opportunity to influence the content of material created or published on it. Delta is not responsible for any material on the site of a third party. Also, any inclusion of a link by an outside third party does not imply that Delta in any way supports, advertises, or promotes the site in question or any products or services mentioned on it.

 

3. Lack of warranty, and limitation of liability

 

The Service is provided ‘as is’. Delta does not guarantee that the Service can be used without interruptions or errors. Delta reserves the right to make changes to the Service or limit access to it at any time. Unless otherwise specifically agreed upon in the Terms, Delta does not provide any guarantee of the availability, faultlessness, or reliability of the Service or any products available through it; of the correctness of information or content included in the Service; or of the suitability of the Service or products available thereby as a subject of trading or for any specific purpose.

 

Products ordered in the Service are provided with a warranty in accordance with

Subsection 4.3.2

 

Delta’s liability is always restricted to the purchase price of the Service or the products ordered through it; Delta is under no circumstances liable for compensation for any incidental, indirect, or consequential damages unless mandatory provisions of law or regulations in force impose an obligation of such compensation. In accordance with the terms of warranty of the products, Delta is not responsible for any damage that is in any way a result of incorrect use of the products or of use that runs counter to the operation instructions.

 

4. Terms of sale of the online shop

 

4.1. General information

 

The Service may contain an online shop (hereinafter ‘the Online Shop’) where Delta may offer products for sale from time to time. Products advertised in the Online Shop may be available in a limited capacity. That a product has been included for sale in the Online Shop cannot be regarded as a binding legal offer. A binding agreement on the sale of a product is created only after the purchasing process in the Online Shop has been appropriately completed.

 

We ship products to only those countries listed in the Service (hereinafter ‘the Delivery Area’). You are responsible for ensuring that the information you provide is up to date, correct, and sufficient, so that we can deliver your order. Products are shipped to the address you submit. You must ensure that your stated shipping address is correct.

 

Any delivery times listed in the Service are estimates that are not binding for Delta. Delta aims to deliver all products within the delivery times indicated.

 

Unless otherwise indicated, prices do not include costs of delivery to the Delivery Area (the costs are indicated on the site), and all prices are inclusive of VAT. You agree to pay the delivery costs of the products as indicated in the Service.

 

Products must be paid for via one of the methods of payment indicated in the Service. You are responsible for ensuring that you are entitled to use the method of payment you have chosen. Other methods of payment may be used only with the prior consent of Delta.

 

If your chosen method of payment is a credit or debit card (provided that we offer such a method of payment), we may charge the credit or debit card after the product has been shipped. We reserve the right to verify credit or debit card payment before an order is accepted. Unless otherwise indicated in the Terms or elsewhere on the site, payment must be made in full, notwithstanding any claims related to deficient delivery or any errors. You are not entitled to exercise the right of set-off without our written approval. Also, we may take action with regard to any payment if the invoice has not been paid by the due date, regardless of whether title to the product has been transferred to the customer.

 

If you opt to receive a separate invoice, you must pay it within 14 days of the date on the invoice or by the other due date printed on it.

 

In cases of late payment, we have the right to charge penalty interest on the overdue payment equal to 1.5 percent per month of the outstanding unpaid amount, this in accordance with the Late Payment Directive (European Directive 2011/7/EU), from the due date onward (regardless of whether that date is before or after any judgement by a court of law). Furthermore, we are entitled to charge reasonable costs incurred in the collection of the overdue amount.

Unless otherwise agreed or provided, the warranty terms of products are only applied for you personally, and the requirement is that you be the user, not a reseller, of the products and services.

 

Liability for risk related to products is transferred at the moment of the products having been delivered or otherwise placed at your disposal or having been handed over to the possession of a supplier chosen by the recipient (whichever of these occurs first).

 

4.2. Consumer’s right of return

 

Only consumers referred to in the Consumer Protection Act (38/1978) have the right of return specified in this Subsection 4.2. Products ordered by corporate customers are not covered by any right of return or cancellation.

 

Products purchased in the Online Shop are covered by a 14-day right of return and exchange, starting at the moment the postal packet or pick-up order is collected (including weekends and public holidays and excluding the day of collection).

 

The right to return products applies to only products that are unused and fit for sale. During the return period, the consumer has the right to review the product and test it in the same way he or she could do when buying the product physically from a business. The consumer may open the package in order to study and test the merchandise, without forfeiting the right of cancellation. However, the consumer may not begin to use the product.

 

The moment of purchase or collection refers to the day when the packet is collected or picked up from the post office or, alternatively, to the date stated on the receipt. It is the customer’s responsibility to prove the day on which the packet was collected from the post office – for example, with a postal receipt.

 

The right to return a product is always product-specific; any late delivery of a product does not grant entitlement to a longer period of return for some other product.

 

The return is free of charge for the consumer. However, the consumer is personally responsible for the postal expenses of any returns made.

 

Customised products are not covered by the right of return.

 

Delta will refund the payment within 30 days from the date when the product was returned.

 

4.3. Warranty on ordered products

 

The manufacturer, Delta, grants a warranty for one year from the purchase date for any product purchased in the Online Shop. The warrantor is responsible for ensuring that the product is suitable for its purpose and remains usable for the warranty period. The warranty covers any material, design, and manufacturing faults manifested during the warranty period. The warranty is in effect only in the Delivery Area.

 

The warrantor is not responsible for faults that are caused by your actions. The warranty does not cover the following, among other things:

 

• normal wear of the device or its components

• cosmetic changes in the device

• faults or damage caused by use or handling of the device in a manner that is incorrect, inappropriate, or counter to the operating and service instructions

• faults or damage caused by the buyer, for example, from opening the device or repairing, adjusting, or modifying it

• faults or damage caused by factors that the manufacturer cannot reasonably be expected to have control over

 

You must inform Delta of any faults within reasonable time from when you detected them or should have detected them. When reporting a fault, you must present a certificate of warranty, a receipt of purchase, or some other reliable account of where and when the product was purchased.

 

Delta or a service company authorised by it may choose to rectify the fault or, alternatively, have Delta provide you with a faultless product within reasonable time from receipt of your report of the fault. You may not invoke the warranty if the device has been modified or if it has been repaired by a party other than a service company authorised by the warrantor.

 

The warranty does not restrict your right to application of any mandatory provisions of applicable consumer protection legislation. Nor does the warranty restrict your rights stemming from mandatory provisions.

5. Miscellaneous terms

 

The Terms shall come into force on 24 March 2015 and remain in effect until further notice.

 

Delta may make amendments to these terms. Any amendments made to the Terms will be indicated in the Service and take effect immediately after such indication. The Terms, as amended, shall also be applied to any agreements made before they took effect.

 

The Terms and order agreements pertaining to products shall be governed by Belgian law. Any disputes arising from this agreement shall be settled by the District Court of Gent.

Further, Delta collects certain personal information regarding Your order, such as payment information, ordered Products, shipment method and Product order number. Delta may also collect other personal information that You have submitted to Delta in connection with the use of the Service.

 

Delta may use third party tools or service providers in order to track Your visits to the Service and Your actions and movements within the Service (such as time, location within the Service and IP address) as well as movements to the Service from another website and movements from the Service to another website as well as computer-specific ID (the ID of the computers on which You have logged in to the Service) and information regarding Your browser type and Your operating system (“Traffic Data”).

 

6. Regular Sources of Information

 

The personal data in the Data File is acquired from You when You use the Service. Further, personal data may be acquired from You when You contact Delta via e-mail or by another equivalent means of communication with regard to the Service.

We may use your personal information for opinion and market research. Your details are anonymous and will only be used for statistical purposes and Delta. You can choose to opt out of this at any time. Any answers to surveys or opinion polls Delta may ask you to complete will not be forwarded on to third parties. Disclosing your email address is only necessary if you would like to take part in competitions. We save the answers to our surveys separately from your email address.

 

We may also send you other information about us, the Site, our other websites, our products, sales promotions, our newsletters, anything relating to other companies in our group or our business partners. If you would prefer not to receive any of this additional information as detailed in this paragraph (or any part of it) please click the ‘unsubscribe’ link in any email that we send to you. Within 7 working days (days which are neither (i) a Saturday or Sunday, nor (ii) a public holiday anywhere in England) of receipt of your instruction we will cease to send you information as requested. Delta does not verify the correctness of the personal data. The data relating to the use of the Service is removed when their storage is no longer necessary.

Order and Shipping Information

 

Ordering process

 

1. Go to page http://www.flipcrown.com/shop.html

2. Your IP should be detected automatically and dependent on that, the shipping destination is selected at the right corner under the language flags. You can also select that manually if you want to ship to a different country.

3. Add the products into your shopping cart by clicking “Buy Now”. You can add more than one product by clicking “Continue Shopping” to close the shopping cart.

If you have a discount coupon, you can enter the coupon details by clicking “Add a Coupon”.

Click “Continue” to proceed to checkout. If you are an existing customer, please provide your email address and password to retrieve your saved contact details.

Otherwise, pleas provide your shipping and billing information.

4. On the bottom of the same page you can select the payment method and then click “Confirm your Order”. You will be redirected to the payment provider who you selected. Follow their instructions.

After you finish the payment process you will be redirected back to our webshop and you will see a “Thank you” page if your payment was successful.

5. You will receive a receipt by email, and the order will be shipped from our warehouse.

 

Delivery

We aim to deliver the product to you at the place of delivery requested by you in your order.

 

We aim to deliver within the time indicated by us at the time of your order. We always aim to deliver within 3 – 6 working days from the date of any order which we accept, but we cannot guarantee any firm delivery dates.

 

We shall aim to let you know, if we expect that we are unable to meet our estimated delivery date, but, to the extent permitted by law, we shall not be liable to you for any losses, liabilities, costs, damages, charges or expenses arising out of late delivery.

 

On delivery of the product, you may be required to sign for delivery. You agree to inspect the product for any obvious faults, defects or damage before you sign for delivery. You need to keep the receipt of the delivered product in case of future discussions with us about it.

 

We deliver in our standard packaging. Any special packaging requested by you is subject to additional charges.

 

We offer express delivery for some orders. You will be able to see whether or not this service is available when placing your order. The costs for this service can be seen in the checkout. The order will be delivered within 2 working days. If we do not deliver within the time specified, we will refund the express delivery costs.

 

All risk in the product shall pass to you upon delivery, except that, where delivery is delayed due to a breach of your obligations under a contract, risk shall pass at the date when delivery would have occurred but for your breach. From the time when risk passes to you, we will not be liable for loss or destruction of the product.

 

You must take care when opening the product so as not to damage it, particularly when using any sharp instruments.

 

You shall ensure that you are ready for safe receipt of the product without undue delay and at any time reasonably specified by us.

 

If you are not available to take delivery or collection, we may leave a card giving you instructions on either re-delivery or collection from the carrier. The package might also be delivered to a neighbour or a safe place.

 

If delivery or collection is delayed through your unreasonable refusal to accept delivery or if you do not (within two weeks of our first attempt to deliver the product to you) accept delivery or collect the product from the carrier, then we may (without affecting any other right or remedy available to us) do either or both of the following:

 

a) charge you for our reasonable storage fee and other costs reasonably incurred by u s; or

b) no longer make the product available for delivery or collection and notify you that we are immediately cancelling the applicable contract, in which case we will refund to you or your credit or debit card company as applicable any money already paid to us under the applicable contract, less our reasonable administration charges (including for attempting to deliver and then returning the product, and any storage fees as provided for in clause 2.11(a) above).

 

It is your responsibility to ensure that the products are sufficient and suitable for your purposes and meet your individual requirements. We do not warrant that the products will meet your individual requirements. You acknowledge that the products are standard and not made bespoke to fit any particular requirements that you may have.

 

Shipping destinations

 

 

Due to regulations and embargos, we exclude the following countries from our shipping list: Azerbaijan, Belarus, Ivory Coast, Eritrea, Guinea, Haiti, Irak, Iran, Kongo, North Korea, Lebanon, Liberia, Libya, Myanmar, Sierra Leone, Zimbabwe, Somalia, Sudan, Syria.

 

Shipping Costs

 

We are using services of shipping companies that offer reasonably fast delivery times at a reasonable cost. Shipping costs are listed and are automatically added to your order. If you prefer express delivery, shipping address is in a country not listed, you order more than 5 FlipCrown units, or you have other special requirements, please contact us directly. In such special cases we will charge you the actual shipping and handling costs. If you are interested in becoming our distributor and ordering several FlipCrown units over time, please contact us at info@deltareference.com to discuss further and to agree delivery costs separately.

 

When shipping outside the EU, the customer is liable for all the possible customs, taxes or duties.

 

Terms of Payment and Delivery

 

Acknowledgement of order

 

Once we have received your order, we will send you an order acknowledgement by e-mail. If you order more than 5 products, or if you are interested in becoming our distributor, please contact us directly at info@deltareference.com  and we will agree upon the delivery and expenses separately.

 

Payment of the order

 

We offer payment by major credit card (VISA, Master Card, American Express) and Paypal. However, we reserve the right to offer less than our full range of payment options.

 

Invoices, order breakdowns and vouchers shall be provided in electronic form only.

 

Payment Directly to Bank Account

 

It is also possible to pay directly to our Bank account when you order from our sales desk by phone or by e-mail. After we’ve accepted your order, we’ll send you an email with our bank information, delivery number, reference number and the total amount of your order. With this information, you can make the payment in your internet bank or in your bank office.

For international deliveries, please use the IBAN and BIC codes. They are included in the invoice to be sent to you by e-mail after we have processed your order.

 

Please remember to use the reference number when paying the invoice by bank transfer.

 

Products will only be shipped after receipt of the full amount on our bank account.

 

Customs

 

You as the customer are responsible for paying the duty and other customs clearing expenses. If you live outside the EU, you might have to pay customs taxes for your order.

 

The amount depends on where you live and what you have ordered. For more information, please contact your nearest customs office.

 

VAT

 

All prices in deliveries made inside the European Union include VAT 21 %.

 

If your billing address is in any other country that’s not part of the EU, we won’t charge you VAT. You’ll need to check with your local tax authority to see whether you’re required to pay VAT to them. If you are, you’ll be responsible for doing so on your own.

 

If you’re buying for business, please contact us directly at info@deltareference.com. You may enter your VAT registration number when you choose your payment method and when you verify your order during the check-out process. The VAT registration number will be printed on your invoice.

Notice of defect

 

If your package is damaged during delivery, contact your postal service for damage notification. We don’t ship broken or faulty products, but if for some reason you’ll receive a broken or faulty product, contact us at info@deltareference.com and we will replace the product or refund the payment.

 

All our products have a full 14-day return and exchange policy starting from the day you received the product or alternatively the day of purchase. Customer’s responsibility is to prove the date when the package is received, for example with a note from the post office.

 

Please report about the defect to info@deltareference.com before the 14-day remorse period expires. In the report please state your order number, email, name, address and the reason for returning the product. Please also state whether you want the product(s) replaced or refunded.

 

Returned products must be unused and resalable. Within the first 14-days customer can open the package, try and test the product the same way as it would be possible in the store. He/she can however not take the product in full use.

 

Deltareference bvba is not responsible for postage charges incurred by exchanging or returning products – such costs are the customer’s responsibility. In case of warranty exchange or repair we will however pay the postages for sending new or repaired items.

Warranty

 

The manufacturer, Deltareference bvba, grants the device a one (1) year warranty. The warranty begins from the day of purchase. Delta Ltd is responsible for the device being suitable for its purpose of use and that it remains usable during the warranty period. The warranty covers all of the device´s defects from material, planning and manufacturing reasons.

 

Deltareference bvba is not liable for any defect that is caused by a reason for which the purchaser is responsible. The following are examples of conditions not covered by the warranty:

- Normal wear and tear of the device and its components

- Cosmetic variations of divergences of the device

- Defects and damages caused by handling or use of the device in a manner that is incorrect, inappropriate or in breach of the instructions for use and maintenance provided inside the sales box

- Defects and damages caused by the purchaser as a result of the purchaser, for example, opening the device or repairing, adjusting or altering it12

- Defects and damages caused by a reason which the manufacturer cannot reasonably be expected to have influence over

 

The purchaser (you, the customer) must inform the warrantor (Deltareference) or the vendor (the retail shop where the FlipCrown product was bought) of the defect within a reasonable time from when he/she first detected the defect of the defect should have been detected. When reporting the defect, the purchaser must present a certificate of warranty, a receipt of the purchase or a reliable account of where and when the product was purchased.

 

According to its option, Delta Ltd or an authorized service representative, will rectify the defect or provide the customer with a flawless device within a reasonable time from the reception of the customer’s report on defect. The purchaser cannot claim the warranty if the device has been altered or repaired by a party other than the warrantor’s authorized service representative.

 

The warranty does not restrict the customer’s right to invoke valid and peremptory legislation related to the Consumer Protection Act.

Limitation of risk

 

The warranty does not restrict any of the customer’s rights deriving from peremptory provision in the legislation or the rights the customer has in relation to the vendor.

 

The manufacturer’s liability is always restricted to the purchase price of the device. The manufacturer is under no circumstances liable for the compensation of incidental, consequential or indirect damages, unless peremptory legislation states otherwise. According to the terms and conditions of the warranty, the manufacturer is not liable for any damages occurring, in any fashion, from the use of the device that is erroneous or does not correspond to the instructions for use. These instructions for use are protected under valid copyright laws. Copying these instructions for use in whole or in part is only permitted with a written consent from Deltareference bvba. Deltareference bvba reserves a right to modify these instructions of use without advance notice.

 

Governing Law and Jurisdiction

 

Contracts between the customer and this web shop shall be governed by Belgian law. This web shop follows the recommendations of the Belgian Consumer Authority.
